Terms of Service

These terms apply to the marketing services and software, including Aine Signal, provided by AINE & Co FZE LLC ("AINE & Co.", "we", "us"), a company registered in the Ajman Free Zone, United Arab Emirates. By using our services or signing up for Aine Signal, you ("the client") agree to these terms. A signed proposal or agreement with us takes priority over these terms where they differ.

1. Our services

We provide Meta performance marketing, social media management, content production and conversion tracking services. Aine Signal is software that records WhatsApp leads from Meta ads, lets the client's team classify them, and sends conversion events to the client's Meta dataset.

2. Accounts and access

• The client connects its own Meta business portfolio, ad account and WhatsApp Business account. These remain the client's property.
• The client is responsible for who it gives access to Aine Signal and for keeping login details secure.
• The client may disconnect Aine Signal at any time from its Meta business settings or by contacting us.

3. Client responsibilities

• Comply with Meta's terms and advertising policies, the WhatsApp Business policies and the WhatsApp Business Messaging policy.
• Have a lawful basis, and any notices and consents required by law, for the customer data processed through Aine Signal, including consent from parents or guardians where customers are minors.
• Mark lead outcomes and purchase values honestly and accurately. Incorrect data can harm campaign performance.
• Pay Meta directly for WhatsApp Business Platform messaging charges and advertising spend. These are billed by Meta, not by us.

4. Fees

Fees for our services and for Aine Signal are set out in the client's proposal or agreement. Unless stated otherwise, fees are payable in advance and are non-refundable for periods already started.

5. Results and third-party platforms

Advertising results depend on many factors outside our control, including Meta's delivery systems, competition, the client's offer and the client's sales process. We do not guarantee specific results. Aine Signal depends on Meta's platforms and APIs, which Meta may change or suspend. We will work to adapt to such changes but are not responsible for interruptions caused by them.

6. Data protection

When we process the client's customer data through Aine Signal, we act as the client's processor under our Privacy Policy. We will process that data only to provide the service, keep it confidential and secure, and delete it when the client leaves as described in the Privacy Policy. A separate data processing agreement is available on request.

7. Intellectual property

We own Aine Signal and our methods, templates and know-how. The client owns its data, brand assets and, once paid for, the ad creatives and content we produce specifically for it, unless the agreement says otherwise.

8. Confidentiality

Each party will keep the other's confidential information private and use it only for the purpose of working together.

9. Suspension and termination

Either party may end the relationship as set out in the agreement, or with 30 days' written notice if there is none. We may suspend access to Aine Signal if it is used in breach of these terms, Meta's policies or the law.

10. Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential losses, including lost profits or lost ad spend, and our total liability is limited to the fees paid by the client to us in the three months before the claim.

11. Governing law

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ajman. Disputes will be handled by the competent courts of Ajman unless the parties agree otherwise.
